Dispatch Service Agreement

Fee schedule
- Days 1–90: 3% of gross on loads Shoreway books and you accept.
- Days 91–365: 5% of gross.
- Day 365+ review: Volume and performance review. Strong volume / reliability typically stays at 5%. Lower utilization or repeated availability/reschedule issues may adjust within 5–9%, with written notice before any change.
1. Parties & relationship
Shoreway Logistics LLC ("Dispatcher") and the motor carrier submitting intake ("Carrier"). Dispatcher is an independent contractor and bona fide agent of Carrier for dispatch services only. Carrier remains motor carrier of record. Dispatcher is not a freight broker.
2. Services
Load search on Carrier's authorized boards, rate negotiation, packets, rate cons, and status support — subject to Carrier approval on loads.
3. Credentials
Limited load-board access for services only. No passwords on the public website. Access ends on termination.
4. Compensation
3% of gross for the first 90 days, then 5%. At 365 days Shoreway reviews volume and performance; strong volume/reliability can stay at 5%, while low utilization or repeated availability/reschedule issues may adjust between 5–9%. Invoiced weekly; Net 7 or Net 14. Carrier pays Dispatcher directly.
5–8. Obligations, term, liability, e-sign
Carrier maintains authority and insurance; 7-day written termination; Florida law; electronic signatures via intake checkbox/typed name and Shoreway countersignature email. Full text is also stored in the Carrier Portal under Documents.
